Agreement

Web Development Contract between Matthew Frank of Northwest Graphic Design (herein referred to as "NWGD" or "The Designer") and Calumet River Construction, The Region Public Adjusters, and The Region Paws and Claws (herein referred to as the client).

NWGD agrees to provide the following services for an agreed term of 6 months, starting on March 1st, 2023, and ending on August 31st, 2023:

1. Web Development: NWGD will create up to 3 websites on behalf of the client, according to the clients specifications. The client agrees to pay NWGD $900 for each website created.

2. Graphic Design: NWGD will create logos, graphics, and illustrations according to the clients specifications. The client shall provide all related files and materials necessary for NWGD to complete the requested graphic design services.

3. Social Media Advertisement: NWGD will create, manage, and post content across multiple platforms and social network sites to promote the client’s business, products, and services. NWGD will also create advertisements on the client's behalf and manage the overall online presence for the client.

4. SEO: NWGD will create and implement an SEO strategy for the client’s website. This will include keyword research, optimization of content, link building, and other related activities.

5. Brand Development: NWGD will help the client create and establish their brand online, through content creation and community management.

The client agrees to pay any monthly/annual web hosting service fees associated with the clients website, not to exceed $50/mo. Additionally, the client agrees to pay NWGD $600/mo for website maintenance and updates, online advertisement, email marketing, and SEO services.

Agreement Term: This agreement shall commence on March 1st, 2023 and terminate on August 31st, 2023. At that time, a new contract can be signed.

Payment: Payment for NWGD services shall be made by check, online payment, or direct bank deposit within 7 days of receiving the invoice. A deposit of 10% of the contract cost will be required before service start date, not exceeding $630.

Any changes to this agreement must be in writing and approved by both parties.

Termination:

1. The Designer may terminate this agreement immediately upon written notice to The Client in the event of a breach of the terms of this Agreement by The Client.

2. The Client may terminate this agreement at any time with 30 days notice provided to The Designer.

3. In the event of termination, The Client is responsible for all payments due until the end of the agreement.

General Provisions:

1. Nothing in this agreement shall be interpreted as creating a partnership or joint venture between The Designer and The Client.

2. The Designer has the right to subcontract certain tasks included in this agreement.

3. The Client will provide The Designer with all necessary materials, including text and images, as requested.

4. The Client is responsible for any applicable taxes associated with the services provided in this agreement.

5. All intellectual property created under this Agreement belongs to The Client.

6. This agreement shall be governed by the laws of the state of Illinois.

7. This Agreement may be amended only by written agreement mutually acceptable to both parties.
